Company Registration in the USA
We register US companies for non-residents remotely, with no trip to the USA. IT, e-commerce, trade, services and other niches. Most clients choose an LLC or a C-Corp. We obtain the EIN, the company's tax number with the IRS, help with the bank account and the tax setup, and handle the CFC report in Ukraine. If you need a company in Ukraine instead, see company registration in Ukraine.

Opening a bank account
We will find a bank or a payment service that works with founders living in Ukraine and opens an account without a visit.

We will explain how and when to report, what and when to pay, how to avoid double taxation.

US company registration in 4 steps
After registration - US reporting and Ukrainian CFC rules
A US company reports even if it has not earned a single dollar. A single-member LLC owned by a non-resident files Form 5472 with a pro forma 1120 with the IRS every year, and the penalty for not filing starts at $25,000. Many states also charge a yearly state fee - from $60 with the Annual Report in Wyoming, and a flat $400 LLC annual tax in Delaware (from 2026, no report required).
In Ukraine, an owner who is a Ukrainian tax resident reports the company as a CFC (controlled foreign company) under Article 39-2 of the Tax Code and pays tax on its profit unless the profit is exempt (for example, when the total income of all the owner's CFCs does not exceed EUR 2 million a year). We handle the CFC report in Ukraine.
Yes. You do not need US citizenship, a visa or a trip to register an LLC or a C-Corp, the filing is done online. The state requires a local legal address and a registered agent, and we provide both for the first year.
Our work starts from UAH 40,000 for an LLC with address and agent for one year, and from UAH 60,000 if you also need the EIN, a US phone number and a bank account. State fees and bank charges are paid separately at their rates.
Your passport and basic details - company name, type of business, the owner's country of residence. We prepare the rest of the documents.
It depends on your goals. Small online businesses without investors usually pick Wyoming for its lower annual costs, while Delaware is chosen when investors and a C-Corp are planned. We recommend a specific state after the consultation.
Traditional US banks (Chase, Bank of America) usually open an account only in person at a branch. The neobanks Mercury and Relay do not work with founders who live in Ukraine (as of October 2026), and Wise Business with a trading address in Ukraine only lets you send transfers, with no account details for receiving payments. The workable option for an owner in Ukraine is Payoneer: it opens an account for the US company, but money can only be withdrawn to an account in the company's own name. We find an option that fits your business, see opening an account in the USA.
A single-member LLC owned by a non-resident with no US business activity usually pays no federal income tax but files Form 5472 every year. In Ukraine the CFC rules apply. Profit kept in the company is tax-exempt while the total income of all your CFCs stays within EUR 2 million a year, above that it is usually taxed at 23%. Dividends you take out are taxed at 14%. The CFC report is filed in any case. We plan the structure for both countries before registration.
